1 About These Terms
Count The Beans is the trading name used by Teresa Grace Hepburn, a sole trader operating a bookkeeping and BAS agent practice in Perth, Western Australia.
These Terms govern use of the Count The Beans website at countthebeans.com.au.
For services, the version of these Terms expressly identified and supplied with your signed Engagement Letter forms part of that engagement. Merely accessing the website does not create a service engagement with Count The Beans.
If you do not agree with the website-use provisions in these Terms, please do not use this website.
2 Services and Engagement Documents
Count The Beans provides bookkeeping, payroll and related services. BAS and IAS services are provided by Teresa Hepburn as a registered BAS Agent with the Tax Practitioners Board, BAS Agent Registration No. 26358963.
Your engagement covers only the services, limits, fees and authorities expressly agreed in its documents.
A later accepted written variation prevails only for the changes it identifies. The accepted proposal and selected Service Schedule govern scope, fees, service limits and effective dates. A separate authority governs only the act it expressly authorises. The Engagement Letter governs the remaining service arrangements, followed by the identified version of these Terms.
Nothing in these documents excludes a right or obligation that cannot lawfully be excluded.
3 Website Use
This website is provided for general information purposes. While we take care to ensure that information is accurate and current, Count The Beans does not warrant that all information on the website is complete, accurate or suitable for your circumstances.
- You must not use the website in a way that causes damage or disruption.
- You must not attempt to gain unauthorised access to any part of the website.
- You must not use website content as a substitute for advice about your particular circumstances.
Links to third-party websites are provided for convenience. Count The Beans is not responsible for the content or operation of those websites.
4 Intellectual Property
Unless otherwise identified, the text, graphics, logos, images and other original content on this website are owned by or licensed to Count The Beans and are protected by applicable intellectual-property laws.
You must not reproduce, distribute or use that content without prior written permission, except where the law permits the use.
This section does not give Count The Beans ownership of a client's source records, documents or information.
5 Fees and Payment
Your accepted proposal and Engagement Letter state the agreed service fees, GST, payment method and due dates.
Prices are in Australian dollars and exclude GST unless stated otherwise. Recurring fees are payable in advance. One-off fees are payable before work begins unless otherwise agreed in writing.
Direct debit is used only where selected and supported by a valid mandate meeting the payment provider's requirements. Otherwise, payment is by advance invoice and bank transfer.
Work starts or resumes only after cleared funds are received and capacity is available.
If a direct debit fails, you must arrange an alternative payment. Count The Beans is not required to re-attempt the debit, send payment reminders, chase payment, commence work or continue work until cleared funds are received and capacity is available.
Count The Beans does not charge a late-payment fee. These Terms do not impose contractual interest or an obligation to reimburse Count The Beans for debt-recovery costs. This does not remove a statutory remedy or a court's powers.
Count The Beans may review recurring fees annually from 1 July by giving at least 30 days' written notice.
Work outside the agreed scope requires your written approval of the scope and applicable fee, estimate or cost cap before the work begins. Scope changes are recorded in an accepted written variation.
These payment arrangements do not exclude Count The Beans' professional obligations or your statutory rights.
6 Statutory Rights and Professional Responsibilities
Nothing in these Terms or your Engagement Letter excludes, restricts or modifies any consumer guarantee, remedy or other right that cannot lawfully be excluded, restricted or modified.
Count The Beans remains responsible for the professional obligations and reasonable care required in providing the agreed services.
These Terms do not impose a contractual liability cap or an obligation for you to indemnify Count The Beans.
7 Privacy
The Count The Beans Privacy Policy explains how personal information is handled.
For an engagement, Count The Beans supplies and identifies the applicable policy version and any service-specific information-sharing notice.
Count The Beans obtains permission for disclosure of client information where required and may disclose information where there is a legal duty to do so.
General acceptance of these Terms does not authorise an unidentified future disclosure.
8 Professional Disclaimer
Information on this website is general in nature and does not constitute financial-product, taxation or legal advice for your particular circumstances. You should obtain appropriate advice before making decisions based on general website information.
Count The Beans is a registered BAS Agent and provides BAS services within the scope permitted by the Tax Agent Services Act 2009 and the particular client engagement.

This website disclaimer does not remove Count The Beans' responsibilities when providing services under an engagement.
9 Governing Law
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia.
Any dispute concerning these Terms is subject to the jurisdiction of the courts of Western Australia, subject to any right or requirement that cannot lawfully be excluded or changed by agreement.
10 Changes to These Terms
Count The Beans may update the website Terms prospectively and identify the revised version and date.
A website update does not by itself amend an existing signed engagement.
Changes to an engagement must follow its applicable change process and identify the changed provisions and effective date. Material new obligations require documented agreement.
Previous issued and accepted versions remain part of the engagement record.
